Strategic Partnership Overview: Hitachi GLS × Nojima

In April 2026, Hitachi Global Life Solutions (Hitachi GLS) and Nojima Corporation announced a strategic partnership to accelerate growth of the Hitachi-branded home appliance business.

Structure of the Deal

– Hitachi GLS creates a new company dedicated to the Hitachi-branded home appliance business (both Japan and overseas).
– Nojima (via a special purpose company it manages) acquires 80.1% of the new company’s shares.
– Hitachi GLS retains 19.9%.
– The new company (now named KADENOVA Corporation) becomes a consolidated subsidiary of Nojima.
– Transfer price for the 80.1% stake: approximately ¥110 billion (subject to final adjustments).
– Completion targeted for the fiscal year ending March 2027, pending regulatory approvals.

What Moves into the New Company

– Domestic Hitachi home appliance operations.
– Overseas Hitachi-branded business currently under Arçelik Hitachi Home Appliances B.V. (AHHA). Hitachi GLS is also acquiring Arçelik’s 60% stake in AHHA so that the full global Hitachi appliance business can be integrated under KADENOVA.

How the Partnership Works

– Nojima brings strong retail frontlines, customer insights, and sales/service networks (“voice of the customer”).
– Hitachi contributes manufacturing expertise, technology, quality standards, and the trusted Hitachi brand.
– KADENOVA will handle the full cycle — development, manufacturing, sales, and after-sales service — under a brand licence agreement with Hitachi GLS.
– The goal is a faster, more customer-driven model that strengthens Japanese *monozukuri* (craftsmanship) while expanding globally.

What Stays with Hitachi GLS

After the deal, Hitachi GLS focuses on its air-conditioning business and digital solutions, aligning more closely with Hitachi’s broader Urban Solutions & Services activities.

In short: Nojima takes majority control and operational leadership of the appliance business, while Hitachi remains a significant minority shareholder and brand licensor, combining retail agility with manufacturing strength.
